Challenge Your World created this website to engage entrepreneurs with ideas and to help bring those ideas to life. Individuals are invited to submit ideas that provide a positive impact on people and the environment.

1. Definitions
Capitalized terms used in the present terms and conditions without other definitions have, unless expressly stated otherwise, the meaning specified in this Section 1. The singular includes the plural and the masculine includes the feminine and neutral, and vice versa. “Additional Terms” means the terms of any legal notices applicable which require your consent and are in addition to the present terms and conditions. “Challenge Your World” means Challenge Your World, Inc. “Challenge Your World Family” includes Challenge Your World, our subsidiaries, agents, organizers, partners, ambassadors, franchisors, franchisees, as well as affiliated academics, corporations, and both governmental and non-governmental organizations. “Challenge Your World Website” means this website or any other website of Challenge Your World. “Content” means all information such as data files, written text, computer software, music, audio files or other sounds, photographs, videos or other images which may be accessed as part of, or through the use of the Challenge Your World Website, and which originates from you or a third party. “Opportunity” means any Sustainability Improvement Opportunity organized on the Challenge Your World Website. “Contest” means any contest organized by or on behalf of Challenge Your World. “Services” means any of Challenge Your World’s products, software, databases, services, Websites, Opportunities, Contests, as the case may be. “Software” means the software applications and database provided as part of the Services. “Terms” means the present terms and conditions and any Additional Terms as amended from time to time.

2. Accepting the Terms
2.1 In order to use the Services you must first agree to the Terms, otherwise you may not use the Services. 2.2 Challenge Your World will post instructions, restrictions and guidelines for the Challenge Your World Website, and reserves the right to reject your ideas or terminate your participation on the Website should you not adhere to the Terms. 2.3 You can accept the Terms by: a) clicking to accept or agree to the Terms, where this option is made available to you by Challenge Your World in the user interface; or b) by actually using the Services. In this case, you understand and agree that Challenge Your World will treat your use of the Services as acceptance of the Terms from that point on. 2.4 Before you continue, you should print off and save a copy of the Terms for your records.

3. Your Relationship with Challenge Your World
3.1 Your use of the Services is subject to the present terms and conditions and to the Additional Terms. 3.2 Unless otherwise agreed in writing with Challenge Your World, your agreement with Challenge Your World will always include, at a minimum, the terms and conditions set out in this document. 3.3 Your agreement with Challenge Your World will also include the terms of the Additional Terms. Where Additional Terms apply to a Website or Opportunity or Contest, these will be accessible for you to read. 3.4 The present terms and conditions, together with the Additional Terms, form a legally binding agreement between you and Challenge Your World in relation to your use of the Services and participation in any Opportunity or Contest. It is important that you take the time to read them carefully. 3.5 If there is any contradiction between the Additional Terms and the present terms and conditions, then the Additional Terms shall take precedence.

4. Language of the Terms
4.1 The Terms are provided to you by Challenge Your World in English.

5. Services Rendered by Challenge Your World
5.1 Challenge Your World is constantly innovating in order to provide the best possible experience for its users. Therefore, you acknowledge and agree that the form and nature of the Services which Challenge Your World provides may change from time to time without prior notice to you. 5.2 As part of this continuing innovation, you acknowledge and agree that Challenge Your World may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally at Challenge Your World’s sole discretion, without prior notice to you. You may stop using the Services or participating in an Opportunity or Contest at any time. You do not need to specifically inform Challenge Your World when you stop using the Services or when you stop participating in an Opportunity or Contest. 5.3 You acknowledge and agree that if Challenge Your World disables access to your account (permanently or temporarily), you may be prevented from accessing the Services, your account details or any files or other content which is contained in your account. 5.4 You acknowledge and agree that while Challenge Your World may not currently have set a fixed upper limit on the number of transmissions you may send or receive through the Services or on the amount of storage space used for the provision of any Service, such fixed upper limits may be set by Challenge Your World at any time, at Challenge Your World’s discretion.

6. Use of the Services by You
6.1 In order to access certain Services and/or to participate in an Opportunity or Contest, you may be required to provide information about yourself (such as identification or contact details) as part of the registration process for the Services and participation in the Opportunity or Contest, or as part of your continued use of the Services. You hereby warrant and represent that any registration information you give to Challenge Your World will always be accurate, correct and up to date. 6.2 You agree to use the Services only for purposes that are permitted by: a) the Terms; and b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions. 6.3 You agree not to access (or attempt to access) any of the Services by any means other than through the interface that is provided by Challenge Your World, unless you have been specifically allowed to do so in a separate agreement with Challenge Your World. You specifically agree not to access (or attempt to access) any of the Services through any automated means (including the use of scripts or web crawlers). 6.4 You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services). 6.5 Unless you have been specifically permitted to do so in a separate agreement with Challenge Your World, you agree that you will not reproduce, duplicate, copy, sell, trade or resell the Services for any purpose. 6.6 You agree that you are solely responsible for (and that Challenge Your World has no responsibility to you or to any third party for) any breach of your obligations under the Terms and for the consequences (including any loss or damage which Challenge Your World may suffer) as a result of any such breach.

7. Your Passwords and Account Security
7.1 You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Services and to participate in any Opportunity or Contest. 7.2 Accordingly, you agree that you will be solely responsible to Challenge Your World for all activities that occur under your account. 7.3 If you become aware of any unauthorized use of your password or of your account, you undertake to notify Challenge Your World immediately at privacy@challengeyourworld.com.

8. Privacy and Your Personal Information
8.1 For information about Challenge Your World’s data protection practices, please read Challenge Your World ’s Privacy Policy by clicking on the Privacy Policy link found on the Website. This policy explains how Challenge Your World treats your personal information and protects your privacy when you use the Services and participate in any Opportunity or Contest. You agree to the use of your data in accordance with Challenge Your World’s Privacy Policy. 8.2 You agree that personal data you disclose, including your name, phone number, and email address, may be processed, stored, shared and otherwise used for the purposes and within the context of the Services. You have the right to access, review, rectify or cancel any personal data held by Challenge Your World at any time by addressing your request to Challenge Your World at privacy@challengeyourworld.com.

9. Content
9.1 You understand that all Content is the sole responsibility of the person from whom such content originated. 9.2 You should be aware that Content presented to you as part of the Services or through your participation in an Opportunity or Contest, including but not limited to advertisements in the Services and sponsored Content within the Services are likely protected by intellectual property rights which are owned by the sponsors, advertisers or organizers who provide that Content to Challenge Your World (or by other persons or companies on their behalf). You may not modify, rent, lease, loan, sell, distribute or create derivative works based on this Content (either in whole or in part) unless you have been specifically authorized to do so by Challenge Your World or by the owners of that Content, in a separate agreement. 9.3 You agree that you are solely responsible for (and that Challenge Your World has no responsibility to you or to any third party for) any Content that you create, transmit or display while using the Services or participating in an Opportunity or Contest and for the consequences of your actions (including any loss or damage which Challenge Your World may suffer) by doing so. 9.4 You warrant and represent that any Content you submit is your original creation and does not infringe any third party rights, including without limitation, copyrights, trademarks, patents, trade secrets, and that the Content is not otherwise illegal or made or submitted in violation of any contractual obligation you might have with a third party. 9.5 We respect the intellectual property rights of others and we prohibit users from uploading, posting or otherwise transmitting on or through Services any materials that violate another party's intellectual property rights. 9.6 As between you and Challenge Your World, you retain ownership of any intellectual property rights (including moral rights) you have in and to your ideas. However, should you choose to publicly submit patentable ideas, Challenge Your World may display those ideas and the methods disclosed by your ideas. 9.7 As a condition of participation, you grant the Challenge Your World Family a perpetual, irrevocable, worldwide, royalty-free and non-exclusive license to use, reproduce, adapt, modify, publish, distribute, publicly perform, create a derivative work from, and publicly display your submission and the proposal provided therein

(1) for the purposes of allowing the Challenge Your World Family to evaluate and advance your ideas,

(2) for the purposes of creating a database accessible to the Challenge Your World Family,

(3) in connection with advertising and promotion via communication to the public or other groups, including, but not limited to, the right to make screenshots, animations and video clips available for promotional purposes and

(4) for the purposes of putting your submitted ideas into effect.

9.8 You agree that Challenge Your World and/or the organizer of an Opportunity has final authority regarding the selection of ideas to be considered for implementation. You acknowledge that your entry might be similar to ideas submitted by other participants and that Challenge Your World and/or the organizer of an Opportunity does not need to recognize your entry should your idea not be the source of the idea ultimately implemented. You further acknowledge that even if your entry is selected by Challenge Your World and/or the organizer of an Opportunity, they are not compelled to implement it in its entirety, or at all.

10. Proprietary Rights
10.1 You acknowledge and agree that Challenge Your World owns all legal rights, titles and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Services may contain information which is designated confidential by Challenge Your World. If so it will clearly be indicated that such information is confidential and you shall not disclose such information without Challenge Your World’s prior written consent. 10.2 Unless you have otherwise been authorized in writing by Challenge Your World in a separate agreement, nothing in the Terms gives you the right to use any of Challenge Your World’s trade names, trade marks, service marks, logos, domain names, and other distinctive brand features. 10.3 Other than the limited license set forth in Section 12, Challenge Your World acknowledges and agrees that it obtains no right, title or interest from you under the Terms in or to any Content that you submit, post, transmit or display on, or through, the Services or your participation in an Opportunity or Contest, including any intellectual property rights which subsist in that Content (whether those rights happen to be registered or not, and wherever in the world those rights may exist). Unless you have agreed otherwise in writing with Challenge Your World in a separate agreement, you agree that you are responsible for protecting and enforcing those rights and that Challenge Your World has no obligation to do so on your behalf. 10.4 Unless you have been expressly authorized to do so in writing by Challenge Your World, you agree that when using the Services or participating in an Opportunity or Contest, you will not use any trade mark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion regarding the ownership or authorized use of such marks, names or logos.

11. License from Challenge Your World
11.1 Challenge Your World hereby gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the Software. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Challenge Your World, in the manner permitted by the Terms. 11.2 You may not (and you may not permit anyone else to) copy, modify, create a derivative work of, reverse engineer, decompile or otherwise attempt to extract the source code of the Software or any part thereof. 11.3 Unless Challenge Your World has given you specific written permission to do so, you may not assign (or grant a sub-license of) your rights to use the Software, grant a security interest in or over your rights to use the Software, or otherwise transfer any part of your rights to use the Software.

12. Content License from You
12.1 You retain copyright and any other rights you already have in the Content which you enter, submit, post or display on or through the Services. By submitting, posting or displaying the Content, you give the Challenge Your World Family a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive licence to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute any Content which you enter, submit, post or display on or through the Services. 12.2 You agree that this license includes Challenge Your World’s right to make such Content available to other members of the Challenge Your World Family and to use such Content. 12.3 You confirm and warrant to Challenge Your World that you have all the rights, power and authority necessary to grant the above license.

13. Software Updates
13.1 The Software used in connection with the Challenge Your World Website may automatically download and install updates from time to time. These updates are designed to improve, enhance and further develop the Services and may take the form of bug fixes, enhanced functions, new software modules or completely new versions. You agree to receive such updates and permit Challenge Your World to deliver these to you as part of your use of the Services.

14. Ending Your Relationship With Challenge Your World
14.1 The Terms will continue to apply until terminated by either you or Challenge Your World as set out below. 14.2 Unless otherwise agreed in another agreement, for example in a shareholder’s agreement, if you want to terminate your legal agreement with Challenge Your World, you may do so by (a) notifying Challenge Your World at any time, (b) closing your accounts for all of the Services which you use, where Challenge Your World has made this option available to you or (c) cease your participation in any Opportunities or Contests. Any notice you give should be in writing and sent to info@challengeyourworld.com. 14.3 Challenge Your World may terminate this agreement at its discretion upon the expiry of a fifteen (15) day period of written notice of termination given to you. 14.4 Nothing in this Section shall affect Challenge Your World’s rights regarding the provision of Services under Section 5 of the Terms. 14.5 Upon the termination of the agreement, all of the legal rights, obligations and liabilities that you and Challenge Your World have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force) or which are expressed to continue indefinitely shall be unaffected by this cessation and the provisions of paragraph 20.6 shall continue to apply to such rights, obligations and liabilities indefinitely.

15. Exclusion of Warranties
15.1 Nothing in these terms, including sections 15 and 16, shall exclude or limit Challenge Your World’s warranty or liability for losses which may not be lawfully excluded or limited by applicable law. Some jurisdictions do not allow the exclusion of certain warranties or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages. Accordingly, only the limitations which are lawful in your jurisdiction will apply to you and our liability will be limited to the maximum extent permitted by law. 15.2 You expressly understand and agree that your use of the Services is at your sole risk and that the Services are provided “as is” and “as available.” 15.3 In particular, the Challenge Your World Family does not represent or warrant to you that:

a) Your use of the Services will be uninterrupted, timely, secure or free from error;

b) Any information obtained by you as a result of your use of the Services will be accurate or reliable; and

c) That defects in the operation or functionality of any software provided to you as part of the Services will be corrected. 15.4 No advice or information, whether oral or written, obtained by you from Challenge Your World or through or from the Services shall create any warranty not expressly stated in the Terms. 15.5 Challenge Your World further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement.

16. Limitation of Liability
16.1 Subject to the overall provision set out in paragraph 15.1 above, you expressly understand and agree that Challenge Your World, its subsidiaries and affiliates, and its franchisors and licensors shall not be liable to you for:

a) any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability, and this shall include, but not be limited to, any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation, any loss of data suffered, cost of procurement of substitute goods or services, or other intangible loss;

b) any loss or damage which may be incurred by you, including but not limited to loss or damage as a result of:

i) Any reliance placed by you on the completeness, accuracy or existence of any idea, entry, submission, posting, transmission, display or advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertising appears on the Services;

ii) Any changes which Challenge Your World may make to the Services, or for any permanent or temporary cessation in the provision of the Services or of the hosting of an Opportunity or Contest;

iii) The deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the Services or within the context of an Opportunity or Contest;

iv) Your failure to provide Challenge Your World with accurate account information;

v) Your failure to keep your password or account details secure and confidential.

16.2 The limitations on Challenge Your World’s liability to you in paragraph 16.1 above shall apply whether or not Challenge Your World has been advised of or should have been aware of the possibility of any such losses arising.

17. Advertisements
17.1 Some of the Services may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Services, queries made through the Services, or other information. 17.2 The manner, mode and extent of advertising by Challenge Your World on the Services are subject to change without specific notice to you. 17.3 In consideration for Challenge Your World granting you access to and use of the Services, you agree that Challenge Your World may place such advertising on the Services.

18. Other Content
18.1 The Services may include hyperlinks to other websites or content or resources. Challenge Your World may have no control over any websites or resources which are provided by companies or persons other than Challenge Your World. 18.2 You acknowledge and agree that Challenge Your World shall not be responsible for the availability of any such external websites or resources, and does not endorse any advertising, products or other materials on or available from such websites or resources. 18.3 You acknowledge and agree that Challenge Your World is not liable for any loss or damage which may be incurred by you as a result of the availability of those external websites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such websites or resources.

19. Changes to the Terms
19.1 Challenge Your World may make changes to the present terms and conditions or the Additional Terms from time to time. When these changes are made, Challenge Your World will make a new copy of the terms and conditions available at the Terms & Conditions link on this Website and any new Additional Terms will be made available to you from within, or through, the affected Services. 19.2 You understand and agree that if you use the Services after the date on which the present terms and conditions or the Additional Terms have changed, Challenge Your World will treat your use as acceptance of the updated terms and conditions or Additional Terms.

20. Miscellaneous Provisions
20.1 The Terms constitute the entire agreement between you and Challenge Your World and govern your use of the Services and your participation in any Opportunity or Contest (but excluding any services which Challenge Your World may provide to you under a separate written agreement), and completely replace any prior agreements between you and Challenge Your World in relation to the Services. 20.2 You agree that Challenge Your World may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the Services. 20.3 You agree that if Challenge Your World does not exercise or enforce any legal right or remedy which is contained in the Terms (or which Challenge Your World has the benefit of under any applicable law), this will not be taken to be a formal waiver of Challenge Your World’s rights and that those rights or remedies will still be available to Challenge Your World. 20.4 If any court of law, having the jurisdiction to decide on this matter, rules that any provision of the Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable. 20.5 You acknowledge and agree that each member of the Challenge Your World Family shall be third party beneficiaries to the Terms and that such members shall be entitled to directly enforce, and rely upon, any provision of the Terms which confers a benefit on (or rights in favor of) them. Other than this, no other person or company shall be third party beneficiaries to the Terms. 20.6 Under no circumstances shall the entry of an idea, its use by Challenge Your World or any member of the Challenge Your World Family, or anything in these Terms be construed as an offer or contract of employment with Challenge Your World. You acknowledge that you have submitted your ideas voluntarily and not in confidence or in trust. You acknowledge that no confidential, fiduciary, agency or other relationship implied in fact or contract exists between you and Challenge Your World and that no such relationship is established by your entry of ideas under these Terms. 20.7 The Terms, and your relationship with Challenge Your World under the Terms shall be governed by the laws of Canada, in the province of Quebec. You and Challenge Your World agree to submit to the exclusive jurisdiction of the courts located within the district of Quebec to resolve any legal matter arising from the Terms. Notwithstanding this, you agree that Challenge Your World shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
